1. Acceptance of Terms

By accessing or using Quid ("the Platform", "we", "us", "our"), you agree to be bound by these Terms of Use. If you disagree with any part of these terms, you may not access or use the Platform.

These Terms constitute a legally binding agreement between you (either an individual lawyer or legal professional using the Platform as a "Lawyer User", or an individual seeking legal services as a "Client User") and Quid.

2. Platform Description

Quid is a technology platform that facilitates the booking, scheduling, and payment for legal consultations. We provide tools for:

  • Automated consultation booking and scheduling
  • Payment processing and authorization holds
  • Real-time metered billing for consultations
  • Document review paywalls
  • Virtual phone number assignment
  • Video/audio consultation infrastructure
  • WhatsApp integration and automated messaging

3. Platform Role and Liability Disclaimers

3.1 Technology Provider Only

QUID IS A TECHNOLOGY PLATFORM ONLY. We do not provide legal services, legal advice, or practice law. We do not establish, facilitate, or supervise any attorney-client relationship. All legal services are provided solely by independent Lawyer Users.

3.2 No Endorsement

Quid does not endorse, recommend, verify, evaluate, or guarantee any Lawyer User. We do not verify credentials, bar admissions, professional standing, or competence. Clients are solely responsible for selecting and evaluating Lawyer Users.

3.3 No Legal Advice

Quid does not provide legal advice or recommendations. Any information provided through the Platform is for informational purposes only and should not be construed as legal advice.

4. Lawyer User Terms

4.1 Professional Responsibility

As a Lawyer User, you represent and warrant that you:

  • Are duly licensed and in good standing to practice law in your jurisdiction
  • Maintain all required professional liability insurance
  • Comply with all applicable laws, regulations, and bar association rules
  • Are solely responsible for all legal advice, services, and professional conduct
  • Maintain confidentiality and attorney-client privilege
  • Handle all client funds in compliance with applicable trust account rules

4.2 Independent Contractor Status

Lawyer Users are independent contractors. Quid does not employ Lawyer Users, direct their work, control their professional judgment, or supervise their legal services. You maintain complete independence in your professional practice.

4.3 Fees and Payment

You set your own consultation fees and rates. Quid charges a platform commission as specified in your subscription plan. You acknowledge that:

  • Payment processing fees may apply
  • Metered billing is calculated based on actual consultation time
  • Disputed charges are handled according to our dispute resolution process
  • You are responsible for all tax obligations related to your income

4.4 Professional Conduct

You agree to conduct yourself professionally, provide competent legal services, avoid conflicts of interest, maintain client confidentiality, and comply with all applicable professional responsibility rules.

5. Client User Terms

5.1 Client Responsibilities

As a Client User, you acknowledge and agree that:

  • You are solely responsible for selecting a Lawyer User
  • You must verify the Lawyer User's credentials, qualifications, and professional standing
  • Quid makes no guarantees about legal outcomes or quality of services
  • You are responsible for evaluating the legal advice you receive
  • You must provide truthful and complete information to your Lawyer User

5.2 Payment Terms

You agree to:

  • Provide valid payment information for all bookings
  • Authorize payment holds for metered consultations
  • Pay only for actual time used in metered consultations
  • Accept charges calculated at the Lawyer User's published rates
  • Dispute charges only through our designated dispute process

5.3 No Attorney-Client Relationship with Quid

You acknowledge that no attorney-client relationship exists between you and Quid. Your attorney-client relationship is exclusively with the Lawyer User you select.

6. Metered Billing and Payment Authorization

6.1 Authorization Holds

For metered consultations, we place an authorization hold on your payment method for 150% of the estimated consultation cost. This is not a charge. You will only be charged for actual time used.

6.2 Time Tracking

Consultation time is tracked automatically from the moment the call/video session begins until it ends. Billing is calculated per second based on the Lawyer User's hourly rate.

6.3 Final Charges

Upon consultation completion, you are charged only for the actual duration. Any unused authorization amount is released immediately. You will receive an itemized receipt.

6.4 Exceeded Estimates

If a consultation exceeds the estimated time, you will receive warnings at 5 minutes remaining, 1 minute remaining, and when the estimate is exceeded. You may end the consultation at any time. Continuing beyond the estimate constitutes acceptance of additional charges.

7. Limitation of Liability

7.1 Platform Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUID SHALL NOT BE LIABLE FOR:

  • Any legal services provided by Lawyer Users
  • Professional negligence, malpractice, or errors by Lawyer Users
  • Disputes between Lawyer Users and Client Users
  • Legal outcomes or results of any consultation
  • Accuracy or completeness of information provided by users
  • Unauthorized access to user data despite reasonable security measures
  • Technical failures, interruptions, or data loss
  • Any indirect, incidental, special, consequential, or punitive damages

7.2 Maximum Liability

Our total liability to you for all claims arising from your use of the Platform shall not exceed the lesser of (a) the fees you paid to Quid in the 12 months preceding the claim, or (b) $500 USD equivalent.

8. Indemnification

8.1 Lawyer User Indemnification

Lawyer Users agree to indemnify, defend, and hold harmless Quid, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your provision of legal services
  • Professional malpractice or negligence
  • Breach of professional conduct rules
  • Disputes with Client Users
  • Violation of these Terms
  • Your unauthorized practice of law or misrepresentation of credentials

8.2 Client User Indemnification

Client Users agree to indemnify Quid from any claims arising from:

  • Your use of legal services obtained through the Platform
  • Disputes with Lawyer Users
  • Payment disputes or chargebacks
  • Violation of these Terms

9. Data Recording and Usage

Consultations may be recorded for quality assurance, dispute resolution, and billing verification. Recordings are encrypted and stored securely. Both parties consent to recording by using the Platform. See our Privacy Policy for details on data handling.

10. Dispute Resolution

10.1 Platform-Related Disputes

For disputes related to Platform functionality, billing, or technical issues, contact our support team first. If unresolved, disputes shall be resolved through binding arbitration in accordance with the rules of the arbitration authority in the jurisdiction where Quid is registered.

10.2 Legal Service Disputes

Disputes regarding legal services, professional conduct, or attorney-client matters are between the Lawyer User and Client User only. Quid is not a party to such disputes. We may provide consultation records upon request for dispute resolution.

11. Termination

We may suspend or terminate your access to the Platform at any time for violation of these Terms, fraudulent activity, or any conduct we deem harmful to the Platform or other users. You may terminate your account at any time. Upon termination, you remain liable for all outstanding obligations.

12. International Use

The Platform is available to lawyers and clients in multiple countries. Lawyer Users must comply with all laws and professional regulations in their jurisdiction. Client Users acknowledge that legal services may be subject to different laws depending on the Lawyer User's location. Cross-border legal services may require additional verification and compliance.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email and/or Platform notification. Continued use after changes constitutes acceptance of modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. For international users, local consumer protection laws may apply.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Quid regarding use of the Platform and supersede all prior agreements.
